Partnership Terms & Conditions

1. Intellectual Property

NaijaVerse retains 100% ownership of all platform technology, source code, branding, and intellectual property. NPF receives usage rights during partnership term only.

2. Exclusivity

This is a non-exclusive partnership. Both parties remain free to pursue other collaborations and partnerships in their respective domains.

3. Payment & Reporting

• Monthly revenue reports provided by 5th of each month
• NPF payment disbursed within 7 business days of month-end
• Both parties maintain access to shared Flutterwave/Paystack portal for real-time transparency
• Annual financial audit if revenue exceeds ₦10M

4. Roles & Responsibilities

NaijaVerse:

• Platform development & maintenance
• Server infrastructure & hosting
• Customer support (24/7)
• Feature updates & bug fixes
• AI technology management
• Live streaming costs (Agora)

Naija Poetry Fest:

• Payment gateway setup & management
• Poet recruitment & onboarding

5. Performance Milestones (Option A Only)

If media/onboarding targets are not met:

• Month 3: If <100 poets onboarded, revenue share drops to 15%
• Month 6: If <2 TV features delivered, revenue share drops to 15%
• Targets reset each quarter for improvement opportunity

6. Termination

Either party may terminate with 30 days written notice. Upon termination, NaijaVerse retains all platform access and may migrate to independent payment gateway within 60 days.

7. Future Funding & Growth

If NaijaVerse secures government funding, grants, or venture capital, terms will be renegotiated in good faith to reflect changed circumstances. NPF will have first right to increase involvement.
